By accessing, browsing, or using the website www.socialmedias.net or engaging any digital marketing services provided by SocialMedias.net (“Company”, “we”, “our”, or “us”), you (“Client”, “User”, or “you”) unconditionally accept and agree to be bound by these Terms of Service (“Terms”) in their entirety.

These Terms constitute a legally binding agreement under the Indian Contract Act, 1872. If you do not agree to these Terms, you must immediately discontinue use of our Website and services. These Terms shall be read in conjunction with our Privacy Policy and Data Processing Agreement.

3. Eligibility

SocialMedias.net is a digital marketing agency that provides services including Search Engine Optimisation (SEO), Social Media Marketing (SMM), Pay-Per-Click (PPC) Advertising, Content Marketing, Email Marketing, Web Analytics, Brand Strategy, Digital Consulting, Photography, Videography and more. Our services are available to businesses and individuals in India and internationally.

To use our services and enter into a binding agreement with us, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher.
  • Have the legal capacity to enter into contracts under the Indian Contract Act, 1872.
  • Not be a person disqualified by any court of law or regulatory authority from entering into contracts.
  • If acting on behalf of a corporate entity, possess the necessary authorisation and authority to bind that entity.

    Persons of Unsound Mind or Minors: In accordance with Section 11 of the Indian Contract Act, 1872, agreements entered into by persons below 18 years or persons of unsound mind are void ab initio. We reserve the right to verify eligibility and terminate services if these conditions are not met.
4. Services Offered
4.1 Digital Marketing Services
  • Search Engine Optimisation (SEO): On-page, off-page, and technical SEO services.
  • Social Media Management: Strategy, content creation, scheduling, community management, and reporting across platforms including Instagram, Facebook, LinkedIn, Twitter/X, and YouTube.
  • Paid Advertising: Google Ads, Meta Ads, LinkedIn Ads, and programmatic advertising campaigns.
  • Content Marketing: Blog writing, copywriting, video production support, and infographic design.
  • Email Marketing: Campaign strategy, design, automation, A/B testing, and performance analytics.
  • Web Analytics & Reporting: Google Analytics 4 setup, dashboard creation, conversion tracking, and monthly performance reports.
  • Photography and videography: Corporate, personal.
4.2 Service Delivery & Timelines

Specific deliverables, timelines, key performance indicators (KPIs), and scope of work are detailed in individual Service Agreements or Statements of Work (SOW) executed with each client. In the absence of a specific SOW, the terms herein shall govern.

5. Fees, Payment & Invoicing
  • Email campaign engagement data (open rates, click rates)
  • Social media profile data where you have connected your accounts
  • Client campaign briefs, creative assets, and campaign preferences
5.1 Fee Structure

Our fees are specified in the relevant Service Agreement or proposal. All prices are exclusive of applicable Goods and Services Tax (GST), which will be charged at the prevailing rate as mandated by the CGST Act, 2017 and applicable SGST/IGST laws.

5.2 Payment Terms
  • Retainer services: Payable in advance on the 1st of each calendar month.
  • Project-based work: 50% advance on signing; balance upon completion or as specified in the SOW.
  • Ad spend budgets: Must be funded in advance; we operate on a pre-funded model for paid media campaigns.
5.3 Late Payment

Invoices unpaid beyond 15 days of the due date shall attract simple interest at 18% per annum. We reserve the right to suspend services for accounts with outstanding dues exceeding 30 days. Reinstatement requires full settlement of overdue amounts.

5.4 GST Compliance

Clients are required to provide their GSTIN for B2B transactions. We will issue GST-compliant tax invoices for all services rendered in India. Reverse charge mechanism (RCM) obligations, where applicable, shall be the responsibility of the respective party as per GST law.

6. Intellectual Property Rights
6.1 Pre-existing IP

All pre-existing intellectual property of SocialMedias.net, including proprietary tools, methodologies, templates, processes, frameworks, and know-how, remains the exclusive property of SocialMedias.net. Nothing in these Terms transfers such IP to the client.

6.2 Work Product

Original creative deliverables – including content, graphics, ad copy, and campaign strategy documents – developed exclusively for a client become the property of that client upon full payment of all dues. Until full payment is received, SocialMedias.net retains all rights in such work product.

6.3 Client Materials

The client grants SocialMedias.net a non-exclusive, royalty-free licence to use client-provided materials (logos, content, brand assets) solely for the purpose of delivering the contracted services. The client warrants that all such materials are owned by them or appropriately licensed.

6.4 Portfolio Rights

SocialMedias.net reserves the right to reference the client as a customer and display campaign results as anonymised or attributed case studies in our portfolio, unless the client provides a written objection within 30 days of project completion.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary, financial, strategic, and business information exchanged during the course of the engagement. Confidential information shall not be disclosed to any third party without prior written consent, except:

  • Where required by law, court order, or a regulatory authority in India.
  • Where the information is already in the public domain through no breach of this agreement.
  • To professional advisors bound by their own confidentiality obligations.

This confidentiality obligation survives termination of the engagement for a period of 3 years.

8. Limitation of Liability

Subject to applicable law, and to the maximum extent permissible under the Indian Contract Act, 1872:

  • SocialMedias.net’s total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by the client in the 3 months immediately preceding the claim.
  • We shall not be liable for indirect, incidental, consequential, or punitive damages, loss of revenue, loss of business, or loss of anticipated profits.
  • We do not guarantee specific results from digital marketing campaigns, including but not limited to rankings, traffic volumes, or conversion rates, as these are subject to third-party platform algorithms beyond our control.

Nothing in this clause limits liability for fraud, wilful misconduct, or death and personal injury caused by negligence.

9. Consumer Protection Compliance

We acknowledge our obligations under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020. As an e-commerce entity:

  • We maintain a Grievance Officer as required under the Consumer Protection (E-Commerce) Rules, 2020.
  • Consumer complaints will be acknowledged within 48 hours and resolved within 30 days.
  • We do not engage in unfair trade practices or misleading advertising as defined under the Consumer Protection Act, 2019.
  • Consumers may escalate unresolved disputes to the National Consumer Disputes Redressal Commission (NCDRC) or the relevant State/District Commission.

10. Termination
10.1 Termination by Client

Clients may terminate retainer services by providing 30 days written notice. Project-based engagements may not be terminated mid-project without payment for work completed up to the date of termination, plus a kill fee of 25% of the remaining contract value.

10.2 Termination by SocialMedias.net

We reserve the right to terminate services immediately without liability upon: non-payment of dues, breach of these Terms, engagement in unlawful or unethical practices, or conduct that poses a reputational risk to SocialMedias.net.

11. Dispute Resolution

In the event of any dispute arising from or in connection with these Terms:

  • Step 1 – Negotiation: Parties shall attempt in good faith to resolve the dispute within 15 days of written notice.
  • Step 2 – Mediation: If negotiation fails, the dispute shall be referred to mediation under the Mediation Act, 2023.
  • Step 3 – Arbitration: Unresolved disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Karnataka, India. The language of arbitration shall be English.

These Terms are governed by and construed in accordance with the laws of the Republic of India.

12. General Provisions
  • Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, government actions, pandemics, or internet infrastructure failures.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Entire Agreement: These Terms, along with executed Service Agreements and our Privacy Policy, constitute the entire agreement between the parties.
  • Amendments: We reserve the right to amend these Terms with 14 days prior notice to registered clients.
  • Waiver: Failure to enforce any right under these Terms shall not constitute a waiver of that right.
